boilerplate n. 1. A standard form of words used in drafting contracts or other legal documents. Boilerplate clauses are standard contract terms. A distinction can be made between boilerplate clauses that are negotiated and drafted by the parties before insertion in the contract and those standard terms and conditions that businesses incorporate within all of their contracts and which are agreed with little or no negotiation. Typically, the latter are found towards the end of the agreement and help to define the rights and obligations of the parties and affect how disputes will be solved. 2.
