de facto director
A person who is not legally or formally appointed as a director of a company but may be regarded as such as a matter of fact, because (for example) he is allowed to occupy the position of director or assumes the responsibilities of a director (Ultraframe v Fielding [2005] EWHC 1638 (Ch), [2005] All ER (D) 397; Statek Corporation v Alford [2008] EWHC 32 (Ch), [2008] BCC 266). |
