annual general meeting (AGM) A meeting of the members of a public company required to be held each calendar year. Not more than 18 months should elapse between meetings, and 21 days’ written notice (specifying the meeting as the annual general meeting) must usually be given. AGMs are concerned with the accounts, directors’ and auditor’s reports, dividends, the election of directors, and the appointment and remuneration of the auditor. Other matters are treated as special business. Under the Companies Act 2006 a private company is not required to hold an AGM; however, section 303 of the Act enables 10% of members of a private company to requisition a general meeting (5% where more than 12 months has elapsed since the last general meeting). |
