fraud on the minority At common law, an improper exercise of voting power by the majority of members of a company in which votes are not cast for the benefit of the company as a whole. In general, the common law rules that applied in such cases have been replaced by sections 260–64 of the Companies Act 2006. However, a common law form of derivative claim based on the notion of fraud on the minority continues to apply where the Companies Act does not apply, as for example in respect of a limited liability partnership (Harris v Microfusion LLP [2016] EWCA Civ 1212). |
