business name The name under which a sole trader, partnership, limited liability partnership, or company carries on business. The choice of a business name is restricted by sections 1192–99 of the Companies Act 2006, so that (for example) a misleading name may not be used. In the case of an individual or ordinary partnership, the names and addresses of the individuals concerned must be disclosed in documents issuing from the business (for example, receipts) and upon business premises, in accordance with the Companies Act 2006 sections 1200–06. The disclosure requirements for a company and a limited liability partnership are provided for by sections 82–85 of the Companies Act and the Companies (Trading Disclosures) Regulations 2008. Contravention of the Act may lead to a fine and an inability to enforce contracts. The use of a business name is also restricted by the tort of passing off. See also company name. |
