general meeting Under the Companies Act 2006, a meeting of company members that is not an annual general meeting. Such a meeting was formerly known as an extraordinary general meeting. The Companies Act requires adequate notice to be given of a general meeting, in hard copy form, in electronic form, or by means of a website (s 308–09). A private company is exempt from holding a general meeting. However, section 303 of the Act enables 10% of members of a private company to requisition a general meeting (5% where more than 12 months has elapsed since the last general meeting). Under the 2006 Act many decisions that could formerly only be made at a general meeting of a private company can be made by written resolution. |
