merger n. 1. An amalgamation between companies of similar size in which either the members of the merging companies exchange their shares for shares in a new company or the members of some of the merging companies exchange their shares for shares in another merging company. It is usually effected by a takeover bid. 2. The extinguishing of a lesser interest in land when it comes into the same ownership as a greater one. For example, if a freehold owner acquires the unexpired leasehold estate, the latter may merge into the freehold. Whether or not merger occurs depends on the circumstances of the transaction (thus a leasehold that is subject to a subsisting mortgage will not normally merge with the freehold) and the intention of the parties. |
