parol evidence rule
The common law principle that extrinsic evidence cannot generally be given to contradict, alter, or vary the terms of a written document, unless there are allegations of mistake, illegality, or fraud. Under the parol evidence rule, a written contract cannot normally be contradicted by any evidence of prior oral or written statements by the parties (e.g. statements made during the negotiations).
