释义 | 事實始源 The factual background, including genesis and objectively the aim of the transaction, known to the parties at or before the date entering into the contract: Hunt v Fisher [1995] HKLY 1034 (CA). In construing a contract, party’s objective or intention is not admissible even though it was known to the parties when they entered into the contract: Prenn v Simmonds [1971] 3 All ER 237, 1 WLR 1381 (HL). The rule of Contra Proferentum should be applied for resolving doubt as to the factual matrix of a transaction: Winland Investment Ltd v Apesole Ltd [1989] 1 HKLR 541 (HC).
