dissolution n. 1. The legal termination of a marriage by a divorce order, nullity of marriage order, or presumption of death or of a civil partnership by the granting of a dissolution order. 2. The dissolving of a registered company. This can be achieved on the completion of a winding-up (as provided for by sections 201–03 and 205 of the Insolvency Act 1986) or by the Registrar of Companies striking it off the companies register as “defunct”, because he has reasonable cause to believe that the company is no longer carrying on business or has failed to file accounts (Companies Act 2006 s 1000). Directors of a company can apply to the Registrar of Companies to have the company struck off (Companies Act 2006 s 1003). The company can be restored to register subsequently on application by petition and payment of the relevant fee (Companies Act 2006 s 1024–34). 3. See Parliament. |
