The time at which contractual obligations must be fulfilled. The time fixed for performance under a contract is decided by reference to the intention of the parties as expressed in the contract. Where there is a contractual term as to the time of performance, its effect is primarily a matter of construction: Hang Seng Finance Ltd v Lin Kwok Man [1991] 2 HKC 613. Generally, where a contract does not specify the time of performance, the obligation in question must be performed within a ‘reasonable’ time: British Steel Corp v Cleveland Bridge and Engineering Co Ltd [1984] 1 All ER 504; Sale of Goods Ordinance (Cap 26) s 31(2). What constitutes a reasonable time is a question of fact to be determined at the time when the performance is alleged to be due rather than at the moment of contractual formation and the time fixed must be fair to both parties.
