释义 | 實質履行原則 The doctrine concerning the performance of contracts, where a party who has performed his obligation except for matters of a minor character will be allowed to enforce the obligation of the other party subject to a counterclaim for damages in respect of the defects: Finalayson v James [1986] BTLC 163 (CA). The doctrine applies to minor deviations from the performance required by an entire contract, and the severable parts of a severable contract. It is, however, a question of construction in each case whether the parties intended that this doctrine should apply that there should be complete and exact performance (Hoenig v Isaacs [1952] 2 All ER 176 (CA)); and it seems that the doctrine will not apply at all to certain types of contractual obligation (Re Moore & Co and Landauer & Co [1921] 2 KB 519 (CA)).
