释义	黑球投票制度 A balloting system by which electors cast their votes by placing differently coloured balls in a ballot box. A white ball indicates approval, a black ball rejection. It was used in the Victorian era but has survived into modern time. It is used by the Council of the Stock Exchange to decide who should be admitted to membership of the Stock Exchange of Hong Kong Limited: Pearl Securities Ltd v Stock Exchange of Hong Kong Ltd [1999] 1 HKC 448. The consequences of this systems are that (1) it renders it impossible to give advance notice to the applicant of any concerns which a member of the Council may have about the applicant’s membership of the Stock Exchange, thereby preventing the applicant from addressing those concerns or making representations about it; (2) it renders it impossible to identify which members of the Council voted against the applicant, thereby denying the decision the transparency which accountability brings; (3) it renders it impossible to give reasons for the refusal of an application for membership of the Stock Exchange, thereby preventing an applicant from knowing whether membership has been denied on valid grounds, on unjustified grounds, or on arbitrary or capricious ones.
