| 释义 | 合夥人 1.In company law, a person who enters into a partnership with others; that is, the relation which subsists between persons carrying on a business in common with a view of profit: Partnership Ordinance (Cap 38) s 3(1). Whether a person has entered into such a relationship is a question of mixed law and fact, depending in each case on the substance of the agreement between the parties and their conduct: s 4. In a general partnership, partners are jointly and severally liable for the debts and obligations of the firm and the liability of each partner is unlimited: s 11. In the case of a limited partnership which must be registered under the Limited Partnerships Ordinance (Cap 37), that is, a partnership which consists of at least one general partner and one or more limited partners, each limited partner is liable only to the extent of the capital contributed. However, a limited partner shall not participate in the management of the partnership business and shall not have power to bind the firm: Limited Partnerships Ordinance (Cap 37) ss 3(2), 5(1), (2). 2. A legal practitioner carrying on private legal practice in common with one or more other legal practitioners. Partnership arrangements, particularly in large partnerships, often make provision for both equity and salaried partners. Barristers are prohibited from practising in partnership whether with other barristers, with solicitors, or with non-lawyers.
