释义 | 隱瞞事實 A conscious or deliberate keeping back of facts; deliberate omission to give relevant information. In contract law, depending upon the circumstances, it may or may not be misrepresentation. Generally speaking, mere silence or inaction, does not constitute nor amount to misrepresentation: Halsbury’s Laws of England (4th Ed) Vol 31 para 749-751. However, where a duty to disclose between the parties or the transaction is one uberrimae fidei (of the utmost good faith), the non-disclosure may lead the contract voidable even though it does not amount to misrepresentation: para 751.
