| 释义 | 轉讓股票 The changing of legal title to a share by way of sale or gift. Shares may be transferred subject to any restrictions in a company’s articles of association. Such restriction is one of the original incidents of the shares attached to them by the contract contained in the articles: Borland’s Trustee v Steel Bros & Co Ltd [1901] 1 Ch 279. A transfer of shares made in contravention of the company’s articles must be refused registration by the board of directors: Tett v Phoenix Property and Investment Co Ltd [1986] BCLC 149 (CA). The transfer is not complete until registration of the instrument of transfer: Re Rose, Rose v IRC [1952] Ch 499, 1 All ER 1217 (CA). If registration of share transfers was obtained by misrepresentation as to the transferee’s position or the consideration paid, the transfer is not registrable even if it was a genuine transaction: Re Bank of Hindustan, China and Japan, Snow’s Case (1871) 25 LT 406. Whether the transfer is a genuine transfer is a question of fact: Re Electric Telegraph Co of Ireland, Budd’s Case (1861) 3 De G F & J 297. A registered holder or his attorney, or such other person authorised by the articles or the Companies Ordinance, may transfer shares: Chatenay v Brazilian Submarine Telegraph Co Ltd [1891] 1 QB 79 (CA). Transfer may also be made by the personal representative of a deceased member of a company even though the personal representative is not a member of the company, and such a transfer is valid under the Companies Ordinance: Companies Ordinance (Cap 32) s 67; Simpson v Molson’s Bank [1895] AC 270 (PC).
