释义 | 辭職 In company law, the formal giving up of membership of an association, upon which act membership ceases. A person may expressly resign in the manner set out in the association’s constitution: Finch v Oake [1896] 1 Ch 409. If the constitution does not provide for resignation, a member may resign by notifying the secretary orally or in writing that he or she intends to resign; resignation will then take effect immediately, unless its formal acceptance is required by the rules. A director can resign at any time, unless it is otherwise provided in the articles of the company or by agreement with the company: Companies Ordinance (Cap 32) s 157D(1). Where notice of the resignation of a director of a company is required to be given by the articles of the company or by any agreement with the company, the resignation has no effect unless the director gives notice in writing either in accordance with such requirement or by sending it by post to, or by leaving it at, the registered office of the company: s 157D(3). A resignation once tendered cannot be withdrawn, except with the consent of the company: Glossop v Glossop [1907] 2 Ch 370.
