释义 | 正式管理 A process whereby an official manager is appointed by creditors to a company experiencing financial difficulties where there is some hope of rehabilitation. Official management is an alternative to seeking liquidation of the company. While a company is under official management there is a moratorium during which no civil proceedings against the company may be conducted without leave of the court. In Hong Kong, the imposition of a moratorium on proceedings against a company has been proposed, which has the dual effect of suspending the rights of the creditors during the moratorium while preserving the assets of a company: Report on Corporate Rescue and Insolvent Trading published in October 1996 ch 5. 公司經歷財務困難時,如仍有希望復原者,債權人會作出委任正式經理的程序。正式管理是尋求將公司清盤的另一解決辦法。公司在正式管理下進入暫止期,如沒有法庭的許可,所有針對公司的民事訴訟均不能提起。在香港,已有提出就針對公司作出訴訟程序而施加暫止期的建議;施加暫止期會產生雙重後果,即在暫止期間,債權人的權利會暫停,而公司的資產可得以保存:《1996 年10月發布之企業拯救及無力償債情況下營商研究報告書》第5章。 |
