释义 | 白武士 An organisation or person who comes to the rescue. In greenmail, a white knight is a third party who is asked by a company being threatened by a corporate raider to purchase the shares held by the raider, thus saving the threatened company from takeover. A white knight may thus be a potential investor (In the Matter of Akai Holdings Ltd, In the Matter of Kong Wah Holdings Ltd (HCCW 50/2000, HCCW 49/2000, unreported)), or someone who can fend off an unwelcomed takeover bid: Guinness plc v Saunders & Anor [1987] BCC 271. When there is a winding-up petition against a company, in order for the company not to be wound up, a scheme of arrangement would be required which necessitates proposal by an appropriate white knight commanding the support of the majority of creditors: Sam Woo Civil Contractors Ltd v Ho Kwok Poon & Anor (HCA 714/2004, unreported).
