A contract that is void or unenforceable. A contract may be inherently ineffective in that it was never valid, or it may become ineffective despite being valid in its inception. A contract may be inherently ineffective because it lacks one of the elements necessary for formation, or unenforceable by statute or public policy. A contract may become ineffective because it has been discharged or rescinded. A contract is not necessarily ineffective simply because it is open to more than one construction if the court can ascertain the meaning intended: Adamastos Shipping co Ltd v Anglo-Saxon Petroleum Co Ltd [1958] 1 All ER 725, [1959] AC 133 (HL). Also known as ‘void contract’ or ‘unenforceable contract’. See also Restitution; Unjust enrichment.
