entire agreement clause
A clause in a contract that aims to exclude any statements, discussions, or representations, except as expressly set out in the agreement, from having contractual force. The clause asserts that the contract constitutes the whole agreement between the parties. If liability for precontractual representations is excluded, the contract should state so expressly. Liability for fraudulent misrepresentation cannot be excluded. |
