The concurrence, agreement or procurement by both parties to a contract where performance cannot effectually occur without the concurrence of both. Where the ability of one party to perform depends on the cooperation of the other, a duty to cooperate may be found in an express term, in the construction of terms expressly agreed, or in an implied term: Mackay v Dick (1881) 6 AC 251. A plaintiff who fails to perform because of a failure to cooperate by the other party is entitled to damages for breach and has a valid excuse for non-performance: Plaimar Ltd v Waters Trading Co Ltd (1945) 72 CLR 304.
