释义	妥協下的資本退還 The refund to a shareholder of any money paid on issued shares as part of a genuine compromise of a dispute over membership of the company. Such payments are valid if the contract to take the shares is void or voidable, for example where the condition precedent to the contract coming into existence is not fulfilled, or where the contract is voidable for misrepresentation. However a return of capital is invalid where there is a valid contract to take shares in existence, and there has only been a breach of a term of the contract. A valid return of capital is made as an exception to the maintenance of capital principle.
