| 释义 | 可使無效 An agreement, transaction or decision which may be set aside, whether it be at the will of one of the parties, by operation of law, or by court order for a legal defect. Administrative law - Able to be set aside by a court for a defect in the decision or act. A voidable decision is valid but contains a defect which allows a person to have it set aside, and until that is done, the decision has full legal effect and existence: Director of Public Prosecutions v Head [1959] AC 83. See also Void. Contract - A contract or other transaction which is initially valid, but where one or more of the parties has a right of election to avoid or to continue and so validate it. Whilst the right of avoidance remains, it may be exercised whether the contract is executory or executed. There are a number of legal rules which provide that the prima facie right to rescind is lost and that the contract be dealt with as if the innocent party had elected to validate it, for example, for delay in exercising the right: Leaf v International Galleries [1950] 2 KB 86, 1 All ER 693 (CA). Equity may make the contract voidable, for example, for misrepresentation: Redgrave v Hurd (1881) 20 Ch D 1 (CA). Ownership of goods may be transferred in a voidable contract, made void for fraud, but it is likely that such a contract will be set aside and goods returned to the original owner: Cundy v Lindsay (1878) 3 App Cas 459.
