Written record required of all proceedings at general meetings and meetings of the board of directors: Companies Ordinance (Cap 32) s 119(1). Minutes should record resolutions and the results of any voting. The minutes are to be signed by the chairman of the meeting or the chairman of the following meeting: s 119(2). Minutes entered in the book are prima facie evidence of the proceedings at the meeting: s 119(3). The minute books are to be kept at the registered office of the company, or at the place where the work of making up the minute books is done, however, they shall not be kept at a place outside Hong Kong and must be available for inspection by members: ss 119A, 120.
