| 释义 | A表章程細則 A set of standard form articles which may be adopted, in whole or in part, by a company limited by shares: Companies Ordinance (Cap 32) s 11(1), sch 1. Part I of Table A is for a company not being a private one. Part II of Table A sets out the alternative regulations for a private company. In the case of a company limited by shares and registered after the commencement of the Companies Ordinance (ie 1 July 1933), if articles are not registered with the memorandum of association or, if articles are registered, in so far as the articles do not exclude or modify the regulations contained in Table A, those regulations are, so far as applicable, the articles of the company in the same manner and to the same extent as if they were contained in duly registered articles: s 11(2). The regulations contained in Table A do not apply to companies limited by guarantee and unlimited companies, except in so far as they are adopted by their articles. Since Table A is sanctioned by statute, the provisions contained in it are legal beyond doubt (Lock v Queensland Investment and Land Mortgage Co [1896] AC 461 (HL)); no question of ultra vires could arise in respect such provisions (New Balkis Eersteling Ltd v Randt Gold Mining Co [1904] AC 165 (HL)). For the same reason, any provision in special articles which is copied from Table A or is in substantially the same terms as the corresponding provision of Table A is valid: Lock v Queensland Investment and Land Mortgage Co, supra. The provisions of Table A can be used as an aid in the interpretation of the Companies Ordinance: Re Barned’s Banking Co, ex p Contract Corp (1867) LR 3 Ch App 105.
