The description of the subject matter of a sale of land and the vendor’s interest in it contained in a contract for the sale of land or consequent transfer of land. The subject matter being sold is the whole of the vendor’s interest and it should be a good, safe, holding and marketable title: Yandle & Sons v Sutton [1922] 2 Ch 199, All ER Rep 425. The vendor must disclose all defects in title which he knows or ought to know or which the purchaser cannot discover on reasonable inspection: Chan Chik Sum v Great Pearl Industries Ltd [1997] 1 HKC 27; To Kam Kwong v Tseung Yuk Chu [1997] 3 HKC 542. However, the vendor has no duty to disclose patent defects unless the vendor conceals them. Any covenants or other rights which it is intended to except or reserve on the sale, and any easements or rights which it is intended to confer expressly on the purchaser, must be mentioned, as must any subsisting incumbrances, easements, restrictive covenants or other matters affecting the value of the property subject to which the property is to be sold: Halsbury’s Laws of Hong Kong, Vol 16, Land [230.0199].
