Covenants implied into old system conveyances and some other instruments to give additional protection against the uncertainty of old system title. The ordinary covenants for title are for the right to assign, for quiet enjoyment, for freedom from encumbrance and for further assurance: Fast Forward Ltd v Magicsound Co Ltd [1991] 2 HKC 494, 1 HKLR 277; Chow Yim Woon v Lam Yung Ming [2000] 3 HKLRD 373 (CA). On a conveyance, the covenants are: that the vendor has full power to convey such title as the vendor has in the land: Conveyancing and Property Ordinance (Cap 219) s 17 (but not that the vendor has good title); that the purchaser will have quiet enjoyment of the land conveyed; that the purchaser will receive the land free from encumbrances other than those to which the conveyance is made subject; and that the vendor will execute any further assurances required to perfect the conveyance. Implied covenants for title are contained in legislation in Hong Kong: s 35, sch 1. It applies to assignment of land where the vendor conveys ‘as beneficial owner’ of the land.
