Duties arise largely from the fiduciary position held by the director and include the duty to act in good faith and for the benefit of the company as a whole: Howard Smith Ltd v Ampol Petroleum Ltd [1974] 1 All ER 1126, AC 821 (PC); the duty to exercise powers only for proper purposes: Hogg v Cramphorn Ltd [1966] 3 All ER 420, [1967] Ch 254; the duty to act with care, skill, and diligence: Re City Equitable Fire Insurance Co Ltd [1925] Ch 407, and the duty to avoid certain conflicts of interest: Regal (Hastings) Ltd v Gulliver [1942] 1 All ER 378; Phipps v Boardman [1967] 2 AC 46; [1966] 3 All ER 721. The directors of a company have generally under the articles the duties as to maintain and to keep in repair the company’s property: Re Floating Dock Co of St Thomas Ltd [1895] 1 Ch 691; Companies Ordinance (Cap 32) sch 7 para 10; Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0217].
