| 释义 | 持異議的股東 A shareholder who, in relation to a scheme or contract, has not complied with the scheme or contract or has not transferred shares in accordance with the scheme or contract. Where nine-tenths have agreed to such a scheme or contract, the dissenting shareholder may be forced to sell its shares to the transferee company: Companies Ordinance (Cap 32) s 168, sch 9. Notice of acquisition must be given within five months from the date of the offer: sch 9 para 3. The dissenting shareholders have two months within which an application can be made to the court to oppose the compulsory acquisition of their shares: sch 9 para 5.
