| 释义 | 股東權利 The rights of a shareholder derived from a series of mutual covenants, such as the articles of association, entered into by all shareholders: Borland’s Trustee v Steel Bros & Co Ltd [1901] 1 Ch 279. These rights vary according to the specific shareholding but there are statutory constraints on the variation of these rights: Companies Ordinance (Cap 32) ss 63A, 64. The usual rights of a shareholder are the right to dividend and the right to vote. All shareholders have the right to receive notice of any meeting called for the purpose of altering the conditions of the company’s memorandum: s 8.
