释义	股份登記 The registration of persons holding shares in a company in the company’s register of members. A person holding shares is not, in law, a member of the company, until his name has been entered into the register of members: Companies Ordinance (Cap 32) s 95. The making of entries in the register is an act of the company, so that approval of directors, or unanimous resolution of members, is required: Re Zinotty Properties Ltd [1984] 1 WLR 1249. Where it is authorised by the articles of association, a company may refuse to register a transferee of shares as a member of the company. Such power must be exercised bona fide in the interests of the company: Companies Ordinance (Cap 32) sch 1 table A arts 24, 25; Re Smith & Fawcett Ltd [1942] Ch 304.
