| 释义 | 終絕 An act to bring the parties’ rights or obligations, as the case may be, of a contract or even the entire contract to an end. Parties to a contract, if they so wish, may extinguish their common law rights or equitable remedies; extinguishment of such rights and remedies could be done by a single party or both parties (for example, performance, release by one party, or agreement of both parties) or by operation of law (for example, prescription, merger of one right into another, discharge of a bankrupt, or frustration). Parties must have it done in a sufficiently clear and unambiguous manner: Wong Shiu Hung v Kwok Sing Leung & Anor [1992] 2 HKC 369 (HC). Novation extinguishes the entire original contract and replaces it with another one: L&C Insurance Consultants Ltd v Liu Kam Shing (HCA 1966/93, unreported). If any of the terms of an employment contract were made with a view to extinguish any right, benefit or protection conferred upon to an employee by the Employment Ordinance shall be void: Rice v Baring Securities (HK) Ltd [1997] 1 HKC 76 (HC); Employment Ordinance (Cap 57) s 70.
