| 释义 | 默示代理 Agency by implied agreement. Implied agency arises when the conduct of the parties towards each other makes it reasonable to infer consent to the relationship of agency. For the purpose of inferring an agency by implied agreement, particular emphasis is placed upon what was said and done at the time the alleged agency was created: Garnac Grain Co Inc v HMF Faure & Fairclough Ltd [1967] 2 All ER 353 (HL). Mere silence is insufficient to create an agency agreement. There must be some course of conduct to indicate the acceptance of the agency relationship: Branwhite v Worcester Works Finance Ltd [1968] 3 All ER 104, [1969] 1 AC 552 (HL).
