释义 | 不當終止 1. An attempt by a promisor to cancel the contract or its performance in circumstances where there is no legal right to do so: British and Beningtons Ltd v North Western Cachar Tea Co Ltd [1923] AC 48 (HL). A wrongful termination is not an effective termination, and thus is regarded as a repudiation of the contract: General Billposting Co Ltd v Atkinson [1909] AC 118 (HL). The innocent party may at once treat himself as discharged and bring an action for damages for the breach: White and Carter (Councils) Ltd v McGregor [1962] AC 413, [1961] 3 All ER 1178 (HL). 2. In employment law, where an employer or employee unilaterally terminates otherwise than in a manner recognised by law. Under such circumstances, a termination will be wrongful where either party terminates without giving notice (A-O-A Tours Ltd v Joseph C K Young [1965] HKDCLR 18) or, if notice is given, gives insufficient notice (Ma Mou-leung v Dollar Motors Ltd [1969] HKDCLR 21). In a similar way, a termination will be wrongful where either party terminates without giving a payment in lieu of notice (Luen Hing Engineering Co v Lam Cho-kwan & Ors (HCLA 15/95, unreported)) or, if such a payment is given, is less than required by law (Chan Yin Ping v Pome Ltd [1989] 2 HKC 411). Damages for wrongful termination in employment contracts can be given: Employment Ordinance (Cap 57) s 8A.
