A contract between a vendor and purchaser to buy and sell a specified parcel of land. No action shall be brought upon any contract for the sale or other disposition of land unless the agreement upon which such action is brought, or some memorandum or note thereof, is in writing and signed by the party to be charged or by some other person lawfully authorised by him for that purpose, except where the doctrine of part performance applies or sales by court is ordered: Conveyancing and Property Ordinance (Cap 219) s 3. A vendor, from the date on which he became aware of a claim which had been instituted in Hong Kong by the issue of the claimant's writ, came under a duty to disclose to any prospective purchaser the fact that such proceedings had been instituted. It was unconscionable for a vendor under a contract for sale of land to withhold the existence of such a claim from the purchaser: Rignall Developments Ltd v Halil [1988] 1 Ch 190; Lucky Health International Enterprise Ltd v Chi Kit Co Ltd & Anor [1999] 4 HKC 21 (CA).
