| 释义 | 公司的責任 The attribution to a corporation of certain acts of its members and any liability attaching to those acts. A company may sue and be sued and it may enter into binding legal transactions. The company will be liable in tort and in criminal law for actions undertaken upon its behalf: Companies Ordinance (Cap 32) s 5A. Contracts made for and on behalf of a company should adopt one of the manner laid down: s 32. The legislature has shown an intention that, where a company is concerned, a director is at jeopardy only where the body corporate is convicted of an offence under the statute which appears to affirm the principle of corporate liability: Trade Descriptions Ordinance (Cap 362) s 20; R v Mark Patrick Cunningham (HCMA 341/92, unreported).
