A guarantee is an accessory contract by which the promisor undertakes to be answerable to the promisee for the debt, default or miscarriage of another person, whose primary liability to the promise must exist or be contemplated: Wardens and Commonalty of the Mystery of Mercers of the City of London v New Hampshire Insurance Co [1992] 2 Lloyd’s Rep 365, 1 WLR 792n (CA); Re Conley (t/a Caplan and Conley), ex p Trustee v Barclays Bank Ltd [1938] 2 All ER 127 (CA).
