Where an individual decides to execute an instrument without taking care to discover and understand the purport of the document, the individual is bound by his or her signature whether the document was read and understood, or otherwise: Thoroughgood’s Case, Thoroughgood v Cole (1584) 2 Co Rep 9a. A plea of non est factum (it is not my deed) may be available where an individual has not attempted to understand at least the general effect of the document, where an individual is mistaken or misled as to the purport of a document, or where an individual is blind, illiterate, ill or incapable of understanding: Saunders v Anglia Building Society [1971] AC 1004, [1970] 3 All ER 961 (HL). Further grounds may exist for avoiding the document on the basis of mistake, fraudulent or innocent misrepresentation, or unconscionable conduct on the part of the party attempting to enforce the deed: Saunders v Anglia Building Society, supra; Kin Cheng Banking Corp v Kao Yu Kuei [1986] HKC 212 (CA).
