释义 | 特別合約 A contract expressed in an instrument under seal (that is, in the form of a deed). A contract so made is effectual in law and binds the company and its successors and all other parties to it (Companies Ordinance (Cap 32) s 2(2); it may be varied or discharged in the same manner in which it is authorised so to be made (s 2(3)). A special contract is enforceable despite the absence of consideration, because it derives its validity from its form alone (Morley v Boothby (1825) 3 Bing 107), except where void, for example as being in restraint of trade, or illegal. Conveyances of land or of any interest in land must be made by deed: Conveyancing and Property Ordinance (Cap 219) ss 4, 6. A contract which is not ‘special’ is referred to as a ‘simple contract’. Whether a contract is a special contract is a question of fact: Lamond v Richards [1897] 1 QB 541; Williams v Linnitt [1951] 1 KB 565. Also known as a ‘contract under seal’. The person who enters such a contract acquires the status of a ‘lodger’ as opposed to a ‘guest’ and loses the protection of the innkeeper’s liability: Thompson v Lacy (1820) 3 B & Ald 283.
