| 释义 | 蓋印文據性質 1. A contract under seal; a deed. Also known as ‘agreement by specialty’, ‘formal contract’ or ‘special contract’. 2. A debt secured by a promise contained in a deed; an obligation under seal securing a debt or a debt due from the Government or under statute, even though it is not evidenced by a deed: Royal Trust Co v A-G (Alberta) [1930] AC 144; R v Williams [1942] AC 541, 2 All ER 95 (PC). 3. Any money payable by a member of a company to the company under the company’s memorandum or articles is a specialty debt from the member to the company: Companies Ordinance (Cap 32) s 23(2). The liability of a contributory is in nature a specialty debt accruing since the commencement of the liability but payable when the debt is enforced: s 172.
