Lat – to be possessed or had. In a deed of conveyance of land, the part that delineates the quantum of the estate or interest being transferred to the assignee: for example Chien Ngan Sang v Lai Kam Hing & Anor [2002] 1 HKLRD B5; Fast Forward Ltd v Magicsound Co Ltd & Anor [1990] 2 HKC 494, [1991] 1 HKLR 277 (HC). The full phrase was habendum et tenendum. ‘To have’ was the habendum and ‘to hold’ was the tenendum. The term is not in common use in modern drafting, and technically in Hong Kong, only tenendum is retained: Sihombing & Wilkinson, A Student’s Guide to Hong Kong Conveyancing (1997) Ch 12, p 702.
