In the context of a negotiation or mediation, the most satisfactory outcome a party could hope to achieve in the event that the mediation does not result in settlement of the dispute. It is a conceptual tool that may be used by a party to help it assess and consolidate the position from which it is negotiating. It requires the party to explore its alternatives and consider what it would and could do as its preferred option if negotiations fail. For example, a party may investigate the likely length and cost of litigation if no agreement is reached. The BATNA differs from the party’s bottom line.
