| 释义 | 宗旨條款 A clause in the memorandum of association of a company containing a statement of the objects of the company, which does not limit the company’s legal capacity, but can operate like an express restriction to limit the use of corporate power by those who act for the company. The inclusion of an objects clause in the memorandum is not obligatory: Companies Ordinance (Cap 32) ss 5A(1), (2), 5B(3). The ordinary rules applicable to construing documents apply to the construction of the objects clause of a memorandum of association: Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0131]. The practice of inserting powers in the objects clause is criticised: Cotman v Brougham [1918] AC 514 (HL); Pearl Island Hotel Ltd v Li Ka Yu [1988] HKC 512, 2 HKLR 87.
