| 释义 | 有股本公司 A company limited by shares formed on the principle of having the liability of the members limited by the memorandum of association to the unpaid amount on shares owned by them. The memorandum of the company, unless it is an unlimited company, must state the amount of share capital with which the company proposes to be registered and the division of share capital into shares of a fixed amount. The subscriber must write opposite to his name the number of shares he takes: Companies Ordinance (Cap 32) s 5(4). A company having a share capital also includes an unlimited company and a company limited by guarantee: s 14.
