Dependent or contingent.
Bills of exchange - In relation to bills of exchange, an acceptance of a bill may be made conditional, namely where payment by the acceptor is made dependent on the fulfilment of some stated conditions: Bills of Exchange Ordinance (Cap 19) s 19(3)(a). Conditional acceptances are examples of qualified acceptances: s 19(3).
Contract - Dependent or contingent. A party’s obligation might depend upon the occurrence of some event. In other words, there will be no such obligation unless and until that event occurs. If the contract itself is said to be subjected to an event or a condition, there may be no binding contract unless and until that event occurs or that condition fulfilled. Where an agreement is stated to be ‘subject to contract’, it may be void for uncertainty, depending upon whether the contracting parties intend that such an agreement to be a binding one and the terms in it should be stated in a more precise form. For example, in land law, mere the term ‘subject to contract’ would not necessarily make a provisional agreement not binding. See also Agreement; Contract.
