A rent at which the demised premises might reasonably be expected to be let in the open market on the material date: ARC Ltd v Schofield [1990] 38 EG 113. It requires an objective assessment of the rent which would be obtained without taking into account considerations personal to the actual parties: Ponsford v HMS Aerosols Ltd [1979] AC 63, [1978] 2 All ER 837. The rent is a reasonable rent only in the sense that it is reasonable in relation to the market: Nordic Asia Ltd v Strawberry Hill Development Ltd (LDLA 32/86, unreported). In Hong Kong, the Lands Tribunal could determine the fair market rent in a new tenancy pursuant to the Conveyancing and Property Ordinance (Cap 219) ss 115(1), 119K: Mass Transit Railway Corp & Ors v Hsu and Sons Ltd [1982] HKDCLR 93. Where the lease fails to provide any valuation criteria, the court will imply appropriate criteria such as that a rent such as would have been reasonable for the particular parties to have agreed (Thomas Bates & Son Ltd v Wyndham’s (Lingerie) Ltd [1981] 1 All ER 1077, 1 WLR 505 (CA)) or that the review is to be to a ‘fair and reasonable’ rent (Central & Metropolitan Estates Ltd v Compusave (1983) 266 Estates Gazette 900). The concept of a reasonable rent differs from that of a rent which it would be reasonable for the tenant to pay, which will let in considerations personal to the actual parties such as whether the tenant should or would agree to pay rent for his own improvements: Thomas Bates & Sons Ltd v Wyndham’s (Lingerie) Ltd [1981] 1 All ER 1077, [1981] 1 WLR 505.
