| 释义 | 外地合約 A contract that is more closely associated with a jurisdiction other than Hong Kong. The validity of a foreign contract is governed by the ‘proper law of the contract’, that is, the system of law by which the parties intended the contract be governed, or where their intention is neither expressed nor to be inferred from the circumstances, the system of law with which the transaction has its closest and most real connection. However, a contract that is against the pubic policy of Hong Kong will be unenforceable in Hong Kong even though it is valid under the law of the jurisdiction in which it was made: Robinson v Bland (1760) 2 Burr 1077, 97 ER 717; Dynamit AG v Rio Tinto Co Ltd [1981] AC 292. 指與香港以外的司法管轄範圍更有聯繫的合約。外地合約的有效性受「合約的適用法律」管限，即是指各方擬將合約受管限的法律體系，或如各方沒有明示其意圖或不可從有關情況下推斷得出其意圖，則指有關交易與之有最緊密及最真實聯繫的法律體系。即使有關合約在其訂立的司法管轄範圍的法律下屬有效，但違反香港公共政策的合約將無法在香港強制執行：Robinson v Bland (1760)2 Burr 1077 1084, 97 ER 717；Dynamit AG v Rio Tinto Co Ltd [1981] AC 292。 |
