释义 | 法定合約 A contract deemed to exist by statute. For example, the company’s memorandum and articles of association, when registered, bind the company and its members to the same extent as if they respectively had been signed and sealed by each member and contained covenants on the part of each member to observe all the provisions of the memorandum and of the articles: Companies Ordinance (Cap 32) s 23(1). The articles constitute a contract between the company and a member in respect of his rights and liabilities as a shareholder: Quinn and Axtens Ltd v Salmon [1909] AC 442 (HL). Any legal action directly based on the memorandum or articles is an action to enforce a statutory contract.
