| 释义 | 債權股證 An equitable interest under an instrument (generally a debenture stock trust deed) which evidences a collective debt divided into units. Whereas a single debenture is usually only transferable in its entirety, a holding of debenture stock may be disposed of in whole or in part. Debenture stock is generally constituted and secured by a trust deed containing a charge upon the property of the company. A stock certificate is issued to each allottee or transferee of stock stating, inter alia, in the case of registered stock, that the person named in it is the registered proprietor or, in the case of bearer stock, that the bearer is the proprietor of the amount of stock mentioned in it, and having printed on it the conditions on which the stock is issued and held: Re Melbourne Brewery and Distillery [1901] 1 Ch 453; Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0493].
